GENERAL CONDITIONS OF USE CLUB VAL THORENS 2016-2017 SEASON

These General Conditions of Use (GCU) specify the provisions governing relations between VAL THORENS TOURIST OFFICE and members of the Club Val Thorens programme (subsequently referred to as “Club Val Thorens”). Membership of Club Val Thorens implies prior unreserved acceptance of these General Conditions.

Article 1 - PURPOSE

Club Val Thorens is offered to customers of the resort to maximise their experience of the resort and ski area during the winter season. It is provided for customer relations purposes to differentiate the resort from others and to give customers the sense of belonging to a group and having a special relationship with the resort, encouraging them to return next season to enjoy new experiences.

Club Val Thorens is operated by VAL THORENS TOURIST OFFICE, an Association under the law of 1st July 1901, incorporated on 4th July 1974, registered with the Sub-Prefecture of Albertville under number W731000778 and with registered offices at Immeuble l’Eskival 73440 VAL THORENS - Commune de Saint-Martin-de-Belleville (subsequently referred to as “TO”).

The aim of Club Val Thorens is to provide customers who are members of the Club (subsequently referred to as “Users”) with:

· access to an online platform for viewing their account information and latest resort news; · information, news about events, activities and new attractions developed or organised in the resort and personalised offers providing access to the various events, new attractions and activities; · special benefits (prices etc.) providing access to various activities offered by the resort under agreements with TO partners; · and invitations to access privileges or experiences (see article 4.2 below).

Article 2 – CONDITIONS OF MEMBERSHIP

Club membership is open to any person aged 18 or over, regardless of their place of residence. The same person (same last name, first name, date of birth and address) cannot be a member of the Club more than once. TO has the option of making all necessary checks and invalidating the membership of any person not fulfilling the required conditions. In a case of false declaration or identity fraud, TO may also rescind the membership of the offending party without compensation.

Club membership is valid for an undetermined period for the full validity period of the “Club Val Thorens” programme and until it is ended at the sole discretion of the TO.

Club membership is a free service offered by the TO with no obligation to make a purchase. The service is described in the leaflet obtainable from the TO or listed partners. Club membership cards may be applied for on the dedicated platform, by contacting the TO or a listed partner by phone or directly via the web site link or sales outlet of a listed partner.

The User must provide their first and last names and a current phone number and email address at the time of application or acceptance by the TO or a listed partner. The User will then receive an email message at this address with a link to access the platform and a temporary login and password, which must be changed when they log on for the first time, enabling them to create a personal online account. When logging on for the first time, the User must provide the information required to create their account and familiarise themselves with and accept these GCU to validate their Club membership.

The card issued to the User will be activated after they have validated their membership online. This consists of a QR code holding their Club membership details and User number.

If needs be, the membership card may be withdrawn or activated by the TO or a listed partner.

The User may obtain all information from the dedicated website or obtain or be issued with a leaflet giving details of Club Val Thorens and how it operates.

The User may invite third parties under their responsibility to benefit from certain specific services, observing the conditions of use of the services, which the User must obtain from the partner service provider.

A User who has purchased a service at a preferential rate or acquiring a benefit through their Club membership must present their membership card and valid ID to access services. If this is not valid, the service provider may refuse to provide the service or require the User to pay the current retail price.

Article 3 – OPERATION OF CLUB VAL THORENS

Club membership includes various benefits that are held on the QR code and can used with partner service providers subject to availability.

Details of the benefits are provided in the leaflet referred to in article 2. Depending on the joining date, Club member benefits can be used in the current or following winter season. Where none or only some of the benefits are used before the end of the winter season in question, they are usually lost, with some exceptions, as certain benefits can be used during the season immediately after the one when the User joined.

Article 4 – BENEFITS OFFERED TO CLUB MEMBERS

Descriptions and photos of all services relating to benefits, privileges and experiences are non-contractual.

4.1 Club benefits

Club benefits offered free of charge or for sale to the User are provided by third party service providers. Benefits sold by TO partners may be provided in the form of discounts or rewards.

The TO may offer free services to Users directly.

The TO makes every effort to offer a varied range of benefits and update them through new partnerships. This means that benefits are likely to develop and change in line with agreements negotiated by the TO with its partners.

These benefits may be updated online on the platform at any time. The TO makes every effort to inform the User of any changes to the conditions of use for the benefits (sending emails to the User account mail box, for example). However, the User is responsible for consulting the conditions of use and/or sale for each service or benefit regularly before any purchase or use to check that they are available. The TO is available to answer any requests for further information.

4.2 Invitations for privileges and experiences

The TO invites certain Users (subsequently referred to as “Guests”) to benefit from exclusive privileges or experiences free of charge and with no obligation to make a purchase as a way of thanking them for their interest in and loyalty to the resort. Such privileges will be granted at the sole discretion of the TO on the basis of its own designated criteria.

For certain experiences, the TO will take care of guests and accompany them to the venue indicated by the partner service provider delivering the service in question. The said service provider will then take care of guests on arrival.

4.3 Terms of use

The use and/or purchase of a service by the User implies their firm and final acceptance of the specific conditions of use and/or sale that apply to the said service. In particular, the opening and attendance hours of service providers are to be adhered to, to ensure the smooth running of services. Certain services may also be cancelled or postponed with no compensation for the User due to the weather, force majeure or off-season tourist breaks or where the required number of participants is not reached.

Article 5 – 24/7 INFORMATION SERVICE

The concierge service is a free (except for the cost of the call) dedicated 24/7 phone service available to the User on the following number: +33 (0)4 79 00 84 88 (cost of a local call from a landline).

This service enables the User to talk to a resort expert to obtain the desired information, receive advice and, if necessary, be redirected to the appropriate service for handling their request.

Article 6 – USE OF THE CLUB CARD

The Club Card is a digital facility associated with a User’s online account and is therefore personal and non-transferable, subject to the stipulations of article 2 for certain services. It has a QR code-type bar code to access the benefits included on joining the Club.

However, it is to be noted that access to services is on presentation of the QR code to the service provider, by whatever means (Club Card, smart phone, tablet etc.).

The Club Card is valid for the same amount of time as the online account. This means that the Card will become inactive automatically if the User account is closed.

Only one card is issued per User. If it is stolen, lost or damaged, the User may obtain a duplicate on request and a new QR code rendering the old one inactive. They will keep the same online account, however. Benefits and purchases credited to their old card will be transferred to the new one.

Article 7 – LIABILITY 7.1 TO liability

Services and benefits provided to the User are subject to the conditions of use laid down by the TO. The TO will not be liable for any loss, partial or total destruction or delay in delivery attributable to the Internet or due to congestion of the (tele)communications networks.

The TO will not be liable for the theft of the Club Card or loss thereof by the user or the fraudulent use of all or some of the partner benefits, and the User may not claim compensation or reactivation for the same if they have been used.

As a general rule and under an obligation of means, the TO delivers the “Club Val Thorens” programme and provides the associated services and benefits within the limits of the available technical resources. In this respect, TO will not be liable for any deficiencies in their supply if attributable to the User, a third party under their control or in a case of force majeure.

Where a computer failure affects the management of a User’s account, the latter will only receive compensation in the form of the attribution of a service and/or benefit similar to the one that they were or are unable to enjoy.

However, the TO will not be liable for the consequences of the use of the card by a minor, and such use is to be under the control and surveillance of the User.

7.2 User liability

The User takes full responsibility for the use of the services and benefits offered by Club Val Thorens.

They are responsible for finding out how venues are organised and run and for adhering to the access and opening conditions (opening hours and periods etc.), as the activities offered are seasonal, subject to weather conditions, have limited access numbers and require prior booking in some cases.

It is to be noted that Club services and benefits are for the User and may not be transferred to third parties, subject to the stipulations of article 2 for certain services. The User is liable with regard to the TO and third parties for the consequences of their participation.

Any infringement of these GCU by a User or third party acting on behalf of a User, any fraudulent or improper use of the card, any falsification of information communicated and any injurious behaviour (fraud, attempted fraud, aggressive behaviour, insulting or defamatory language of the User with regard to the TO or its personnel, partners or their personnel may result in the cancellation of the User’s membership of the Club without notice or compensation and the cancellation of their online account and, by extension, any unused services and benefits held there. Such cancellation is without prejudice to the right of recourse of the TO.

Article 8 – DURATION OF MEMBERSHIP AND MODIFICATIONS

Club membership is taken out for an undetermined period as stated in article 2. The User is entitled to cease involvement with the Service at any time, notifying the TO of their decision in writing or by email to the address below. By doing this, all benefits and services unused on the date of receiving the request will be lost without compensation.

If the TO cancels the Club membership for an infringement by the User, all benefits and services unused on the date of coming into effect will be lost without compensation.

The conditions of Club membership and the use of the associated services and benefits may change, and this is expressly acknowledged and accepted by the User.

As a general rule, the TO has the option of modifying the conditions of use and features of the services and benefits, including for reasons relating to technical development, external events requiring it to do so or linked to adaptations required or desired by the TO for improving and developing the offers.

The User will be informed of any modifications made within a reasonable time before their implementation, including notices on the online platform and partner premises and/or individual email notification. The User retains the option to cancel their Club membership at any time by notifying the TO. Use of Club benefits after modifications have come into effect denotes unreserved acceptance thereof by the User.

The TO may decide not to carry the Club card and associated benefits over from one winter season to another and is not required to substantiate its decision. The User will be informed of the decision by any available means, including information provided on the online platform and individual email notification. Should this be the case, all individual User accounts will be rendered inactive and cancelled on the date notified and membership applications will no longer be possible from this date, unless expressly stated otherwise in the notification.

ARTICLE 9 – COLLECTION AND PROCESSING OF PERSONAL DATA 9.1 General

The data collected by the TO under the programme is used to manage the User’s membership of the Club Val Thorens and perform the various related services. This information may be sent on to service providers. Objection by the User to the collection, storage or transfer to third parties of their personal data required for the implementation of the programme would automatically make it impossible for the TO to provide all or part of the requested service. The TO may use the data for direct communications, including electronic. In accordance with law n° 78-17 of 6th January 1978 relating to data, files and freedoms, as amended on 6th August 2004, the User has the right to access and modify any of their personal data that the TO might process for the purpose of its activity. Being strictly personal, the right of access and modification may only be exercised by the holder providing proof of their identity or their legal representative if they are a minor, or a legally incapacitated individual. In practical terms, the right may be exercised by sending a letter to Val Thorens Tourist Office - Maison de Val Thorens 73440 Val Thorens, France.

9.2 Surveys

If the User has responded to a survey organised by the TO, data collected on this occasion will only be used for the purposes of the survey and will always be treated anonymously. The data will be destroyed at the end of the survey.

Article 10 – ABSENCE OF A RIGHT TO WITHDRAWAL

With regard to the purchase of services benefitting from advantages linked to Club membership, the provisions of articles L121-20 et seq. of the French Consumer Code relating to contracts concluded at a distance and off-premises, and giving the consumer the right of withdrawal are not applicable to contracts for the sale and supply of leisure activities for a determined date or period (art. L121-21-8 of the French Consumer Code).

Furthermore, sales contracts relating to a tourist package in the sense of article L211-2 of the French Tourism Code are not considered as contracts concluded at a distance and off-premises, (art. L121-16-1 of the French Consumer Code) and therefore do not benefit from the provisions relating to the right of withdrawal.

Article 11 - INTELLECTUAL PROPERTY - STUDIES AND DOCUMENTS

VAL THORENS, VAL THORENS UNITED, VAL THORENS 2300m, LIVE UNITED VT Val Thorens and VT Val Thorens 2300m are registered trademarks. Use of these trademarks or any other distinctive sign referring to the resort of VAL THORENS and not expressly authorised may incur civil and criminal liability for its author. Any full or partial reproduction thereof is strictly prohibited and may constitute the offence of forgery.

As a general rule, all communication documents issued, disseminated or sent by the TO remain the sole property thereof and may never be reproduced or be used, directly or indirectly for other initiatives without prior written permission from the TO.

Article 12 – DISPUTES - COMPLAINTS

Any complaint relating to the use of Club benefits is to be sent to the TO at the address below by recorded letter with acknowledgement of receipt or delivered in person against receipt within ten days of the performance of the service, under pain of forfeiture.

These GCU are subject to French law. Any disputes that might arise therefrom, including with regard to the validity, execution or interpretation thereof, will be subject to the French courts, which shall have sole jurisdiction.

The legal provisions relating to consumer mediation do not apply between the TO and the user in the context of this document.

Where either party has sent a registered letter with acknowledgement of receipt expressing the desire to resolve a dispute amicably and no satisfactory answer is received within 30 days, either party will refer the matter to the competent court.

4.3 Terms of use

The use and/or purchase of a service by the User implies their firm and final acceptance of the specific conditions of use and/or sale that apply to the said service. In particular, the opening and attendance hours of service providers are to be adhered to, to ensure the smooth running of services. Certain services may also be cancelled or postponed with no compensation for the User due to the weather, force majeure or off-season tourist breaks or where the required number of participants is not reached.

Article 5 – 24/7 INFORMATION SERVICE

The concierge service is a free (except for the cost of the call) dedicated 24/7 phone service available to the User on the following number: +33 (0)4 79 00 84 88 (cost of a local call from a landline).

This service enables the User to talk to a resort expert to obtain the desired information, receive advice and, if necessary, be redirected to the appropriate service for handling their request.

Article 6 – USE OF THE CLUB CARD

The Club Card is a digital facility associated with a User’s online account and is therefore personal and non-transferable, subject to the stipulations of article 2 for certain services. It has a QR code-type bar code to access the benefits included on joining the Club.

However, it is to be noted that access to services is on presentation of the QR code to the service provider, by whatever means (Club Card, smart phone, tablet etc.).

The Club Card is valid for the same amount of time as the online account. This means that the Card will become inactive automatically if the User account is closed.

Only one card is issued per User. If it is stolen, lost or damaged, the User may obtain a duplicate on request and a new QR code rendering the old one inactive. They will keep the same online account, however. Benefits and purchases credited to their old card will be transferred to the new one.

Article 7 – LIABILITY 7.1 TO liability

Services and benefits provided to the User are subject to the conditions of use laid down by the TO. The TO will not be liable for any loss, partial or total destruction or delay in delivery attributable to the Internet or due to congestion of the (tele)communications networks.

The TO will not be liable for the theft of the Club Card or loss thereof by the user or the fraudulent use of all or some of the partner benefits, and the User may not claim compensation or reactivation for the same if they have been used.

As a general rule and under an obligation of means, the TO delivers the “Club Val Thorens” programme and provides the associated services and benefits within the limits of the available technical resources. In this respect, TO will not be liable for any deficiencies in their supply if attributable to the User, a third party under their control or in a case of force majeure.

Where a computer failure affects the management of a User’s account, the latter will only receive compensation in the form of the attribution of a service and/or benefit similar to the one that they were or are unable to enjoy.

However, the TO will not be liable for the consequences of the use of the card by a minor, and such use is to be under the control and surveillance of the User.

7.2 User liability

The User takes full responsibility for the use of the services and benefits offered by Club Val Thorens.

They are responsible for finding out how venues are organised and run and for adhering to the access and opening conditions (opening hours and periods etc.), as the activities offered are seasonal, subject to weather conditions, have limited access numbers and require prior booking in some cases.

It is to be noted that Club services and benefits are for the User and may not be transferred to third parties, subject to the stipulations of article 2 for certain services. The User is liable with regard to the TO and third parties for the consequences of their participation.

Any infringement of these GCU by a User or third party acting on behalf of a User, any fraudulent or improper use of the card, any falsification of information communicated and any injurious behaviour (fraud, attempted fraud, aggressive behaviour, insulting or defamatory language of the User with regard to the TO or its personnel, partners or their personnel may result in the cancellation of the User’s membership of the Club without notice or compensation and the cancellation of their online account and, by extension, any unused services and benefits held there. Such cancellation is without prejudice to the right of recourse of the TO.

Article 8 – DURATION OF MEMBERSHIP AND MODIFICATIONS

Club membership is taken out for an undetermined period as stated in article 2. The User is entitled to cease involvement with the Service at any time, notifying the TO of their decision in writing or by email to the address below. By doing this, all benefits and services unused on the date of receiving the request will be lost without compensation.

If the TO cancels the Club membership for an infringement by the User, all benefits and services unused on the date of coming into effect will be lost without compensation.

The conditions of Club membership and the use of the associated services and benefits may change, and this is expressly acknowledged and accepted by the User.

As a general rule, the TO has the option of modifying the conditions of use and features of the services and benefits, including for reasons relating to technical development, external events requiring it to do so or linked to adaptations required or desired by the TO for improving and developing the offers.

The User will be informed of any modifications made within a reasonable time before their implementation, including notices on the online platform and partner premises and/or individual email notification. The User retains the option to cancel their Club membership at any time by notifying the TO. Use of Club benefits after modifications have come into effect denotes unreserved acceptance thereof by the User.

The TO may decide not to carry the Club card and associated benefits over from one winter season to another and is not required to substantiate its decision. The User will be informed of the decision by any available means, including information provided on the online platform and individual email notification. Should this be the case, all individual User accounts will be rendered inactive and cancelled on the date notified and membership applications will no longer be possible from this date, unless expressly stated otherwise in the notification.

ARTICLE 9 – COLLECTION AND PROCESSING OF PERSONAL DATA 9.1 General

The data collected by the TO under the programme is used to manage the User’s membership of the Club Val Thorens and perform the various related services. This information may be sent on to service providers. Objection by the User to the collection, storage or transfer to third parties of their personal data required for the implementation of the programme would automatically make it impossible for the TO to provide all or part of the requested service. The TO may use the data for direct communications, including electronic. In accordance with law n° 78-17 of 6th January 1978 relating to data, files and freedoms, as amended on 6th August 2004, the User has the right to access and modify any of their personal data that the TO might process for the purpose of its activity. Being strictly personal, the right of access and modification may only be exercised by the holder providing proof of their identity or their legal representative if they are a minor, or a legally incapacitated individual. In practical terms, the right may be exercised by sending a letter to Val Thorens Tourist Office - Maison de Val Thorens 73440 Val Thorens, France.

9.2 Surveys

If the User has responded to a survey organised by the TO, data collected on this occasion will only be used for the purposes of the survey and will always be treated anonymously. The data will be destroyed at the end of the survey.

Article 10 – ABSENCE OF A RIGHT TO WITHDRAWAL

With regard to the purchase of services benefitting from advantages linked to Club membership, the provisions of articles L121-20 et seq. of the French Consumer Code relating to contracts concluded at a distance and off-premises, and giving the consumer the right of withdrawal are not applicable to contracts for the sale and supply of leisure activities for a determined date or period (art. L121-21-8 of the French Consumer Code).

Furthermore, sales contracts relating to a tourist package in the sense of article L211-2 of the French Tourism Code are not considered as contracts concluded at a distance and off-premises, (art. L121-16-1 of the French Consumer Code) and therefore do not benefit from the provisions relating to the right of withdrawal.

Article 11 - INTELLECTUAL PROPERTY - STUDIES AND DOCUMENTS

VAL THORENS, VAL THORENS UNITED, VAL THORENS 2300m, LIVE UNITED VT Val Thorens and VT Val Thorens 2300m are registered trademarks. Use of these trademarks or any other distinctive sign referring to the resort of VAL THORENS and not expressly authorised may incur civil and criminal liability for its author. Any full or partial reproduction thereof is strictly prohibited and may constitute the offence of forgery.

As a general rule, all communication documents issued, disseminated or sent by the TO remain the sole property thereof and may never be reproduced or be used, directly or indirectly for other initiatives without prior written permission from the TO.

Article 12 – DISPUTES - COMPLAINTS

Any complaint relating to the use of Club benefits is to be sent to the TO at the address below by recorded letter with acknowledgement of receipt or delivered in person against receipt within ten days of the performance of the service, under pain of forfeiture.

These GCU are subject to French law. Any disputes that might arise therefrom, including with regard to the validity, execution or interpretation thereof, will be subject to the French courts, which shall have sole jurisdiction.

The legal provisions relating to consumer mediation do not apply between the TO and the user in the context of this document.

Where either party has sent a registered letter with acknowledgement of receipt expressing the desire to resolve a dispute amicably and no satisfactory answer is received within 30 days, either party will refer the matter to the competent court.
